1. Acceptance of Terms

These Terms of Use ("Terms"), constitute a legally binding agreement between you ("User," "you," or "your") and Jaffa Geos ("Company," "we," "our," or "us"), governing your access to and use of the Mineral Price Tracker service, including our website, applications, and API (collectively, the "Service"). By accessing, browsing, or using any part of the Service, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms of Use, including any additional terms and conditions and policies referenced herein and/or available by hyperlink. If you do not agree to all of these Terms, you are expressly prohibited from using the Service and must discontinue your use immediately. Your use of the Service is also subject to our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users of the Service, including, without limitation, visitors, registered users, subscribers, and API users.

2. Description of Service

The Service provides access to a comprehensive repository of market data and information pertaining to minerals, with a focus on minerals mined in Nigeria. This includes, but is not limited to:

  • Current Mineral Prices: Real-time or near real-time data on the prevailing market prices of various minerals. The Company does not guarantee the accuracy or timeliness of these prices.
  • Historical Price Data: Historical records of mineral prices, including charts, graphs, and downloadable data, for analysis and research purposes.
  • Market Trends: Analysis of market trends, including price fluctuations, supply and demand dynamics, and other relevant market information.
  • Mining-Related Information: Information related to mining activities, including but not limited to, mining locations, production volumes, and industry news.
  • API Access: Access to mineral data via a dedicated Application Programming Interface (API), subject to separate API Terms of Service, which may include rate limits, authentication requirements, and restrictions on data usage.
  • Value-added services: The Service may also include additional features, tools, and functionalities, such as market analysis reports, news feeds, and data visualization tools, which may be subject to change or discontinuation at any time without notice.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without notice or liability.

3. User Registration

To access certain features and functionalities of the Service, you are required to register for a user account. You agree to the following:

  • Provision of Accurate Information: You agree to provide true, accurate, current, and complete information about yourself as prompted by the Service's registration form ("Registration Data"). You represent and warrant that all Registration Data provided by you is accurate and truthful. You shall not impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Maintenance of Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to take all reasonable measures to protect your account from unauthorized access, use, or disclosure. You must notify us immediately of any unauthorized use of your account or any other breach of security.
  • Prompt Updating of Information: You agree to promptly update your Registration Data and any other information you provide to us to ensure that it remains accurate, current, and complete at all times. You may update your information through the account settings or by contacting our support team.
  • Responsibility for Account Activities: You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities. You are liable for any losses incurred by us or others due to any unauthorized use of your account.
  • Age of Majority: You represent and warrant that you are of legal age to form a binding contract in your jurisdiction of residence and that you have the full power and authority to enter into these Terms.

We reserve the right to suspend or terminate your account if we believe that you have violated any of these Terms, including providing inaccurate or incomplete information.

4. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to engage in any of the following prohibited activities:

  • Unlawful Use: Use the Service for any illegal purpose or in violation of any applicable laws, regulations, or third-party rights, including, but not limited to, intellectual property laws, data protection laws, and export control laws.
  • Unauthorized Access: Attempt to gain unauthorized access to any portion of the Service, other user accounts, computer systems, or networks connected to the Service, through hacking, password mining, or any other means.
  • Interference with Service: Interfere with or disrupt the operation of the Service or the servers or networks that host the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
  • Account Sharing: Share your account credentials with any other person or entity, or allow any other person or entity to access your account. You are solely responsible for all activities that occur under your account.
  • Data Scraping: Use any automated system, including without limitation, "robots," "spiders," "offline readers," or similar data gathering or extraction tools, to access, scrape, or download data from the Service without our express written permission. This includes any attempt to systematically retrieve data to create a competing service or product.
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide the Service.
  • Distribution of Harmful Code: Transmit or distribute any viruses, worms, Trojan horses, defects, date bombs, time bombs, or other items of a destructive nature through the Service.
  • Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Harassment: Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against any other user of the Service or any other person or entity.
  • Violation of Intellectual Property Rights: Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
  • Commercial Use: Use the Service for any unauthorized commercial purpose, including but not limited to, advertising, solicitation, or the sale of goods or services, without our express written consent.
  • Circumventing Security: Circumvent, disable, or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content.

We reserve the right to investigate and take appropriate legal action against anyone who violates these Terms, including, without limitation, suspending or terminating your account and reporting you to law enforcement authorities.

5. Intellectual Property

The Service and all content, materials, and features made available through the Service, including, but not limited to, text, graphics, images, logos, trademarks, software, data, and other materials (collectively, "Content"), are the exclusive property of Jaffa Geos or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws. You acknowledge and agree that:

  • Ownership: We own and retain all right, title, and interest in and to the Service and the Content, including all intellectual property rights therein.
  • Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and the Content solely for your personal, non-commercial use.
  • Restrictions: You shall not modify, copy, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any Content obtained from the Service without our express written consent.
  • Trademarks: The trademarks, service marks, and logos displayed on the Service are our registered and unregistered trademarks. You shall not use our trademarks without our prior written permission.
  • Copyright: All Content is copyrighted as individual works and as a collective work under the copyright laws of Nigeria and other countries. Unauthorized reproduction is prohibited.

Any unauthorized use of the Content may violate copyright, trademark, and other laws and could result in civil or criminal penalties.

6. Data Usage and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy explains how we collect, use, and disclose your information, including Personal Information. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. 7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, JAFFA GEOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • THE SERVICE OR ANY CONTENT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
  • THE DATA PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, CURRENT, OR TIMELY.
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
  • THE SERVICE OR THE SERVERS THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE DO NOT ENDORSE OR MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING ANY THIRD-PARTY CONTENT OR SERVICES THAT MAY BE ACCESSIBLE THROUGH THE SERVICE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JAFFA GEOS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, THE CONTENT, OR ANY THIRD-PARTY CONTENT OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO US FOR ACCESS TO THE SERVICE DURING THE [Specify Period, e.g., SIX (6) MONTHS] PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS OF LIABILITY IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE REMEDIES AVAILABLE UNDER THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

9. Modifications

We reserve the right, in our sole discretion, to modify, update, or revise these Terms of Use at any time and for any reason. We will notify you of any material changes to these Terms by posting the updated Terms on our website and/or by sending you a notification via email or other means, as required by applicable law. The updated Terms will be effective as of the date indicated in the "Last updated" section. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. You are responsible for reviewing the most current version of the Terms periodically. If you do not agree to the revised Terms, you must discontinue your use of the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles. You agree that any legal action or proceeding between you and us relating to these Terms or the Service shall be brought exclusively in the courts located in the Federal Capital Territory, Nigeria, and you consent to the personal jurisdiction of such courts.

12. Termination

We may, in our sole discretion, suspend, restrict, or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, and without liability to you. Such termination may result in the forfeiture and destruction of all information associated with your account. You may also terminate your account at any time by following the instructions provided through the Service. The provisions of these Terms that by their nature should survive termination shall survive termination, including, but not limited to, Sections 5 (Intellectual Property), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 10 (Governing Law), and 13 (Miscellaneous).

13. Miscellaneous

These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and us concerning the Service. If any provision of these Terms is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms and the remaining provisions shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempt to do so shall be void. We may assign or transfer our rights and obligations under these Terms, in whole or in part, without restriction. You agree that any cause of action arising out of or related to these Terms or the Service must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
